Last updated: 2026-11-03

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and Defcon Systems, LLC ("we," "us," or "our"), which operates Toolzilla and the toolzilla.com website. By accessing or using the Service, you agree to these Terms. If you accept them for an organization, you confirm you have the authority to bind it. If you do not agree, please do not use the Service.

2. Definitions

  • “Service” refers to Toolzilla, including its gateway, dashboard, connectors, and related features.
  • “User” refers to any individual or entity that accesses or uses our Service.
  • “Subscription” refers to the paid access to our Service.
  • “Connected Service” refers to a third-party service you connect to the Service.
  • “Agent” refers to any software, including an AI agent, that uses a token or credential from your account.
  • “Customer Content” refers to the data, credentials, and other material you or your Agents submit to or send through the Service.

3. Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you are at least 18 years of age.

4. Description of Service

Toolzilla is a hosted gateway for the Model Context Protocol (MCP). It gives an organization one endpoint for its Agents, with scoped access tokens, stored credentials, connectors to Connected Services, long-running tools, and a record of tool calls. The specific features and functionality of the Service may be modified, updated, or discontinued at our discretion.

5. User Accounts and Registration

5.1. To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process.

5.2. You are responsible for maintaining the confidentiality of your account credentials and access tokens, and for all activities that occur under your account.

6. Subscription and Payments

6.1. Subscription Plans: We offer various subscription plans for access to our Service. We show each plan's pricing and features in the product before you subscribe.

6.2. Payment Processing: We use Stripe as our payment processor. By subscribing to our Service, you agree to Stripe's terms of service and privacy policy.

6.3. Recurring Billing: Subscriptions are billed on a recurring basis. You authorize us to charge your payment method on file for the subscription fees.

6.4. Cancellation: You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period.

6.5. Refunds: Due to the nature of digital services, refunds are generally not provided, except as the Termination section of these Terms says or as required by law.

7. Complimentary and Trial Access

7.1. We may offer free accounts, trials, promotional access, or invitation-based complimentary access. The applicable plan, features, and usage limits are the ones shown when that access is activated or later displayed in Billing.

7.2. Complimentary access has no guaranteed minimum term. Free accounts and trials may expire or be ended by Toolzilla at any time, including access shown as having no scheduled end date.

7.3. When complimentary access ends, continued use may require a new invitation or a paid plan immediately. A label such as “No scheduled end date” does not promise permanent access or unlimited product usage.

7.4. You will not be charged unless you separately choose a paid plan.

8. User Obligations

8.1. You agree to use the Service in compliance with all applicable laws and regulations.

8.2. You shall not:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to any part of the Service or to any Connected Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Connect an account or use a credential or data you do not have the right to use.
  • Use the Service to distribute malware or to attack or defraud others.
  • Bypass plan limits, token scopes, or other security controls.
  • Reverse engineer or decompile the Service, except where the law gives you the right to do so.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from us.

9. Connected Services and Credentials

9.1. You must have the right to connect each Connected Service and to use the credentials you give us. You authorize us to store those credentials and to use them for the calls you and your Agents make.

9.2. Each Connected Service is provided by a third party under its own terms, which you are responsible for following. We do not control Connected Services and are not responsible for their availability, content, or actions.

10. Agents and Tool Calls

10.1. You decide which Agents hold your tokens and which tools each token can reach. You are responsible for everything done with your tokens and credentials, including by an Agent acting on its own.

10.2. Agents can make mistakes and can act on untrusted content that tools return, including by changing, sending, or deleting data in a Connected Service. Keep tokens narrowly scoped and review what your Agents are allowed to do.

11. AI-Assisted Request Handling

If you file a request through the Requests feature, we use AI agents to help our staff handle it, as described in our Privacy Policy. A staff member approves what is sent to you, but AI-assisted work can still contain errors, and you are responsible for reviewing what we deliver before relying on it.

12. Intellectual Property Rights

12.1. The Service, including all content, features, and functionality, is owned by Defcon Systems, LLC and is protected by copyright, trademark, and other intellectual property laws.

12.2. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

13. Customer Content

13.1. You retain ownership of your Customer Content.

13.2. You give us a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content only as needed to provide, secure, and support the Service for you, as our Privacy Policy describes. This license does not let us sell Customer Content or use it to train AI models.

13.3. We keep records of how the Service is used, such as tool names, counts, timing, and errors, as our Privacy Policy describes. They do not include your argument values or tool responses, and we may use them to operate, secure, and improve the Service.

14. Privacy

Our Privacy Policy explains how we handle personal information, including how to ask us to delete it.

15. Disclaimer of Warranties

15.1. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15.2. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DEFCON SYSTEMS, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE SAME EXTENT, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNTS YOU OR YOUR ORGANIZATION PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND US$100.

NOTHING IN THESE TERMS LIMITS LIABILITY THAT THE LAW DOES NOT ALLOW US TO LIMIT.

17. Indemnification

You agree to indemnify and hold harmless Defcon Systems, LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service, your Agents' actions, your Customer Content, or your violation of these Terms.

18. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service at any time. We may also revise these Terms from time to time. The most current version will always be posted on our website, with its date.

We will tell account holders about material changes to these Terms by email or in the product at least 30 days before they take effect, unless a legal or security reason needs them sooner. If you keep using the Service after a change takes effect, you accept the revised Terms. If you do not agree, stop using the Service and cancel any subscription before then.

19. Termination

19.1. You may stop using the Service at any time. You can cancel a subscription in Billing, and ask us to delete your account as our Privacy Policy describes.

19.2. We may terminate or suspend your access to the Service immediately, without prior notice, for any reason whatsoever, including if you breach these Terms.

19.3. If we end your access or discontinue the Service and you have not breached these Terms, we will refund the unused part of any fees you paid in advance.

19.4. When your access ends, your tokens stop working and we stop using your credentials to make tool calls. We handle your information as our Privacy Policy describes, including deleting it when you ask.

19.5. Terms that by their nature should continue after your access ends will continue, including amounts you already owe and the sections on Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law and Jurisdiction.

20. Preview Features

We may label some features as beta, preview, or early access. They are still being developed, may change or stop at any time, and can be less reliable than the rest of the Service. You use them at your own risk, and these Terms apply to them.

21. Export Controls and Sanctions

You may not use the Service if you are located in a country under a comprehensive United States embargo or appear on a United States government list of restricted parties, and you may not use it to violate export control or sanctions laws.

22. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Diego County, California.

23. Assignment

You may not transfer these Terms or your rights under them without our written consent. We may transfer them, including as part of a merger, acquisition, or sale of our business, and we will tell you if we do.

24. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

25. Entire Agreement

These Terms constitute the entire agreement between you and Defcon Systems, LLC regarding the use of the Service, superseding any prior agreements between you and Defcon Systems, LLC.
